These Terms of Use (the “Terms”) are a binding agreement between you and Prestilla Labs LLC, a New Jersey limited liability company (“Prestilla,” “we,” “us,” or “our”). They govern your access to and use of Prestilla’s websites, applications, APIs, AI integrations, presentation-generation services, and related products and services (collectively, the “Services”).
Prestilla does not use Customer Content to train or improve general-purpose or customer-shared AI models, and we do not authorize our third-party AI model providers to use Customer Content for that purpose. Content may still be processed and retained as reasonably necessary to provide, secure, support, and comply with law in connection with the Services.
01Acceptance and authority
By accessing or using the Services, creating an account, or accepting an order form that references these Terms, you agree to these Terms. If you use the Services for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering into this agreement. You may not use the Services if applicable law prohibits you from doing so.
02The Services
Prestilla helps users create, edit, analyze, theme, render, share, and export presentations and related materials. Features may use artificial intelligence and third-party infrastructure. We may modify, add, suspend, or discontinue features at any time. We do not guarantee that every feature will always be available, uninterrupted, secure, or error-free.
If you enter into a separate order form, enterprise agreement, data processing addendum, or other written agreement with Prestilla, that agreement controls to the extent it conflicts with these Terms.
03Accounts and access
You must provide accurate account information, keep your credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity under your account, including activity by people you authorize. You may not share access in a way that circumvents plan limits or security controls.
04Customer Content and data use
“Customer Content” means prompts, documents, presentations, themes, images, data, instructions, and other material that you or your authorized users submit to, store in, or generate through the Services, including resulting presentations and other outputs. Our Privacy Policy describes how we process personal data and Customer Content.
As between you and Prestilla, you retain your rights in Customer Content. You grant Prestilla a worldwide, non-exclusive, limited license to host, copy, transmit, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, maintain, secure, support, and improve the functionality of the Services; comply with your instructions; enforce these Terms; and satisfy legal obligations.
No model training. Prestilla will not use Customer Content to train or improve general-purpose or customer-shared artificial-intelligence models. Prestilla will not opt in to allowing its third-party AI model providers to train their models on Customer Content. This restriction does not prevent processing, limited retention, abuse monitoring, security review, or legally required preservation by Prestilla or its service providers when necessary to operate the Services.
You represent that you have all rights, permissions, and lawful bases required to submit Customer Content and authorize its processing. Do not submit regulated or highly sensitive information unless Prestilla has expressly agreed in writing to support it.
05AI-generated output
Artificial-intelligence output may be inaccurate, incomplete, misleading, offensive, non-unique, or unsuitable for your intended purpose. Prestilla does not guarantee the factual accuracy, originality, legality, availability, or fitness of any output. Similar or identical output may be generated for other users.
You are solely responsible for reviewing and verifying all output—including facts, calculations, citations, permissions, confidential information, charts, recommendations, and professional conclusions—before using, presenting, publishing, or relying on it. The Services do not provide legal, financial, medical, accounting, investment, or other regulated professional advice.
To the extent permitted by applicable law, and subject to any third-party rights, you may use output generated for you. Prestilla makes no representation that any output is protectable by intellectual-property law or free from third-party claims.
06Acceptable use
You may not use the Services to violate law or third-party rights; create or distribute malware; gain unauthorized access; interfere with the Services; bypass usage, security, or access restrictions; scrape or extract the Services at scale except through an authorized API; impersonate others; submit content you lack the right to use; or generate deceptive, fraudulent, abusive, or harmful material.
You may not reverse engineer, copy, resell, sublicense, or use the Services to build a competing product or train a competing model, except where such restrictions are prohibited by law or we authorize the activity in writing.
07Prestilla intellectual property
Prestilla and its licensors own the Services, including the software, interface, designs, systems, models, workflows, documentation, trademarks, and other technology, excluding Customer Content. No rights are granted except the limited right to use the Services under these Terms.
If you provide feedback, suggestions, or ideas, you grant Prestilla a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not identify you publicly without permission.
08Fees and subscriptions
Paid features are subject to the pricing, usage limits, renewal terms, and taxes disclosed at purchase or in an order form. Unless otherwise stated, subscriptions renew automatically for successive periods until canceled. Fees are non-refundable except where required by law or expressly stated in writing. We may suspend paid features for overdue amounts.
09Third-party services
The Services may interoperate with third-party models, storage providers, identity services, data sources, integrations, or websites. Third-party services are governed by their own terms and policies. Prestilla is not responsible for third-party services, content, availability, security, or acts and omissions.
10Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay amounts due, or if continued provision is no longer commercially or technically practicable. Where reasonably practicable, we will provide notice and an opportunity to export Customer Content before termination, but we are not obligated to do so where prohibited by law or necessary to protect the Services or others.
Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.
11Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PRESTILLA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
PRESTILLA DOES NOT WARRANT THAT THE SERVICES OR OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY MEETING, TRANSACTION, DECISION, OR OTHER PURPOSE. YOU USE THE SERVICES AND OUTPUT AT YOUR OWN RISK.
12Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESTILLA AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM OR RELATED TO OUTPUT, DECISIONS, PRESENTATIONS, THIRD-PARTY SERVICES, OR UNAUTHORIZED ACCESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PRESTILLA AND THE OTHER PRESTILLA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PRESTILLA FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In that event, liability is limited to the fullest extent permitted by applicable law.
13Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Prestilla and its members, managers, officers, employees, affiliates, licensors, and service providers from claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or related to your Customer Content; your use of the Services or output; your violation of these Terms, law, or third-party rights; or acts by anyone using your account. Prestilla may control the defense of any matter subject to indemnification, and you will cooperate with that defense.
14Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in New Jersey, and each party consents to their personal jurisdiction and venue.
Nothing in these Terms prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, or access to the Services.
15Changes to these Terms
We may update these Terms. If a change is material, we will provide reasonable notice through the Services, by email, or by updating the effective date. Changes apply prospectively when stated. Continuing to use the Services after updated Terms become effective constitutes acceptance.
16General terms
You may not assign these Terms without our written consent. Prestilla may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. Neither party is liable for delay or failure caused by events beyond its reasonable control.
If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. A waiver must be in writing and is not a continuing waiver. These Terms, together with any applicable order form and incorporated policies, constitute the entire agreement concerning the Services.
